Feb 24, 2010: THE SIESTA GROUP EXPANDS ITS RESEARCH ACTIVITIES AND CLINICAL TRIALS BUSINESS

Vienna, Austria – The Siesta Group, creator of the Somnolyzer 24x7 automated scoring technology, has sold its autoscoring business to Royal Philips Electronic and will focus its activities on sleep-related research and its clinical trial business.

“The successful development, market launch and now sale of the Somnolyzer 24x7 to Philips is a significant milestone for our company. The transaction allows a fast and global penetration of the field with the most advanced and clinically validated autoscoring technology. It also gives The Siesta Group the resources to expand its research in sleep measurement and grow its proven clinical trials business.

With an increasing demand for development services in CNS- and sleep-related drugs and the reputation that TSG earned as a leading-edge sleep technology company, we expect significant growth in our drug and device development service business,“ said Georg Dorffner, CEO of The Siesta Group. “Aside of that, we are developing and validating new concepts for the measurement of sleep and vigilance that aim to become tomorrow’s gold standard.”

The reliable and valid measurement of sleep and, more generally, cortical activity through EEG, is increasingly becoming a central concern in the development of CNS-active drugs, reaching much farther than drugs targeting sleep disorders alone. The market is in need for more efficient high quality solutions to deriving major sleep and EEG biomarkers, a need that is perfectly addressed by The Siesta Group’s technology.

While Somnolyzer 24x7 is now property of Philips Respironics being exploited in the diagnostic sleep center business, The Siesta Group remains the sole company making available this technology to the benefit of clinical trials worldwide.

Feb 24, 2010: PHILIPS STRENGTHENS SLEEP DIAGNOSTIC PORTFOLIO THROUGH THE ACQUISITION OF AUTO-SCORING BUSINESS OF THE SIESTA GROUP IN AUSTRIA

Amsterdam, The Netherlands and Vienna, Austria – Royal Philips Electronics (AEX: PHI, NYSE: PHG) announced today that it has acquired the Somnolyzer 24 x 7 automated scoring solutions business of the Siesta Group in Vienna. This FDA-cleared solution will help improve the productivity of sleep centers and is based on the most advanced and clinically validated automated-scoring technology on the market. The Siesta Group is a research and clinical software company specializing in polysomnography scoring solutions for sleep centers. The acquired business will become part of the sleep diagnostics business within Philips Home Healthcare Solutions. Financial details of the agreement were not disclosed.

“With increasing demand for sleep disorder tests, sleep centers, physicians and technicians need tools and services that offer improved scoring consistency and efficiency; enabling them to focus on those parts of the sleep study and other activities that require their professional expertise,“ said Don Spence, CEO of Philips Home Healthcare Solutions. “The Somnolyzer 24 x 7 solution is a strategically valuable addition to Philips’ sleep diagnostic portfolio which will enable us to offer improved sleep lab productivity and further drive growth of sleep diagnostics for our customers and our business.”

Sleep diagnostic testing is expected to continue to grow in the next few years with increasing global awareness of sleep disorders such as Obstructive Sleep Apnea (OSA). In developed markets, automated scoring technology represents an opportunity to improve the productivity of sleep centers. This automated scoring technology can also enable sleep centers in emerging markets to cope with the challenges of increasing demand for sleep diagnostic testing and the scarcity of sleep specialists.

The acquisition of the auto-scoring business of the Siesta Group will further reinforce Philips’ leadership in the strategic growth area of home healthcare, sustaining Philips’ expansion in the sleep diagnostics and OSA therapy markets globally.

The research and clinical trial services business, which are not part of the acquisition, will be retained and continue under the Siesta Group based in Vienna.

March 11, 2009 Worldwide sleep analysis leader The Siesta Group celebrates FDA appoval for US go-to-market

This week’s FDA approval of Somnolyzer 24x7 opens up the highly-valuable US sleep laboratory market to The Siesta Group (TSG). TSG’s software package is set to boost existing partnerships with top world med tech players.

TSG made a major milestone in its worldwide go-to market strategy this week, after the US Food and Drug Administration (FDA) approved its software package Somnolyzer 24x7®.  The software is a diagnostic aid for sleep and respiratory disorders.  Geriatric medicine and accident prevention initiatives are just two main beneficiaries of the new possibilities opened up by TSG’s software.

Somnolyzer 24x7®, characterised by its ease-of-use for health care personnel, evaluates established sleep analysis parameters in accordance with the latest scientific research.  This makes TSG a worldwide leader in computer supported sleep analysis, and a prime partner for pharmaceutical and other med-tech trials. Core markets include sleep labs scoring and analysis, home diagnosis products and clinical trials, with a net worth of €2.2bn.

TSG already has R&D collaborations with academic groups, as well as with pioneering sleep-medicine firms. The company, with a team of 13 European sleep scientists and solid management, is now exploring other partnership opportunities.  It is backed by lead-investor Gamma Capital Partners (GCP).

TSG CEO Dr Georg Dorffner was enthusiastic that “thanks to the great efforts of our technical team and the support by our consultant Boston Medtech Advisors, we received the approval, which we need to make automated sleep analysis a new standard in the delivery of care, in the shortest possible time, just three months after our application. Patient satisfaction and treatment outcome will improve, and the costs of sleep diagnosis will fall.”

GCP Partner Burkhard Feurstein considered that “now could not be a better time for achievement in the US healthcare business. With a major healthcare step-up planned by the new Obama Administration, efficient yet cost-cutting products will be in high demand.”

Sleep is a fundamntal health requirement, with growing evidence that a lack of sleep increases susceptibility to cardiovascular diseases, obesity, or diabetes. An average of 7-8 hours' sleep a night for adults is also essential for optimum brain function and hormone regulation. The consequences of sleep deprivation in professional life can be devastating; major industrial accidents including the Chernobyl and Exxon Valdez fiascos were cuased, in part, by overly-tired workers.

Somnolyzer 24x7 is a computer-based scoring tool that tremendously increases a technician's efficiency in scoring polysomnographic sleep studies. Its technology has been independently proven to be among the world's leading scoring systems. The emphasis of the product offering is found in 3 areas of Sleep Diagnostic Center operations. i) Cost: Currently it is recognized nation wide that Sleep Study costs are soaring for both labs and insurance providers. Somnolyzer 24x7 in its nature significantly reduces the cost of carrying out manual scoring activities and provides the lab more value added activities expected from technical staff. ii) Consistency: By reducing the variation currently evident in manual scoring the consistent quality of scoring is maximized, aiding both technical quality reviewers and physicians to depend on the results with increased confidence, unmatched by any other system in the market. iii) Cyber speed: With Somnolyzer 24x7, the speed at which sleep studies are scored is increased with astounding prowess, resulting in sleep labs becoming more efficient in managing scored studies into the hands of Physicians, subsequently meaning that diagnosis and patient feedback is also done in a more consistent and effective way.

The expansion of operations will mean that an infrastructure will be in place to fully support the North American sleep diagnostic centers from sales and technical support perspectives.
